Welcome to Intuitia. These Terms & Conditions ("Terms") govern your access to and use of the services provided by Intuitia Tech ("Company," "we," "us," or "our"), including our website https://www.intuitia.tech and any related design, development, or consulting services (collectively, the "Services").
By engaging our Services or using our website, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Scope of Services
ntuitia provides professional digital services including, but not limited to:
- UI/UX Design & Prototyping
- Brand Identity & Graphic Design
- Web & Custom Software Development
- 2D/3D Character & Product Design
- SaaS & MVP Design
- Staff Augmentation (Design & Development)
- Product Strategy & Consulting
- AR & VR Experience Design
- Each project will be governed by a specific Statement of Work (SOW) or Proposal outlining the deliverables, timelines, and costs. In the event of any conflict between an SOW and these Terms, the SOW shall take precedence.
- Staff Augmentation Note: All augmented staff operate under Intuitia's supervision. Clients contract with Intuitia and not directly with individual team members.
2. Payments and Fees
2.1 Currency
All quotes and payments are processed in US Dollars (USD).
2.2 Payment Methods
We accept payments via ACH, Wire Transfer, Credit Card, and PayPal.
2.3 Billing Schedule
Unless otherwise agreed in an SOW:
A non-refundable deposit is required to commence work.
Remaining balances are billed upon milestone completion or delivery.

2.4 Late Payments
Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
2.5 Taxes
The Client is responsible for any applicable taxes, duties, or levies arising from the Services, unless otherwise stated in the SOW.
3. Intellectual Property Rights
3.1 Client Content
You retain all rights to any data, logos, or materials you provide to us ("Client Content"). You warrant that you have the rights to provide such materials.
3.2 Work Product
Upon receipt of full and final payment, Intuitia transfers all ownership rights of the final Work Product (designs, code, or brand assets) to the Client. Until full payment is received, all Work Product remains the property of Intuitia.
3.3 Portfolio Rights
Intuitia reserves the right to display completed projects in our portfolio, case studies, and social media for promotional purposes, unless a Non-Disclosure Agreement (NDA) is in place.
3.4 Third-Party Assets
Where third-party assets (fonts, stock images, plugins, etc.) are incorporated into the Work Product, licensing of those assets is the Client's responsibility unless specifically included in the SOW
4. Scope Changes & Revisions
4.1 Change Requests
Any changes to the agreed-upon scope of work must be submitted in writing. Intuitia will assess and provide a revised quote or timeline accordingly.
4.2 Revision Rounds
Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
4.3 Scope Creep
Work outside the original SOW will not commence until a written change order has been agreed upon by both parties.
5. Refund and Cancellation Policy

- Deposits are non-refundable.
- Completed milestones are non-refundable once approved.
- Project Termination requires 14 days' written notice; the Client is responsible for all work completed to date.
6. Client Obligations
The success of our Services depends on your cooperation. You agree to:
- Provide timely feedback and approvals within agreed timeframes.
- Warrant that you own or have the rights to any materials provided to us.
- Provide accurate billing and contact information for payment compliance (KYC).
- Not engage individual Intuitia team members directly or attempt to bypass the Company for services rendered under any active or past agreement.
- Ensure a designated point of contact is available throughout the project.
Delays caused by the Client's failure to meet these obligations may result in revised timelines and/or additional costs.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any project or agreement. Where a formal NDA is required, it will be executed as a separate agreement.
8. Limitation of Liability
To the maximum extent permitted by law, Intuitia shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profit, data, or business opportunity) arising out of the use of our Services. Our total liability for any claim shall not exceed the total amount paid by the Client for the specific project in question.
9. Warranties and Disclaimers
Our Services are provided on an "As-Is" and "As-Available" basis. While we strive for excellence, we do not guarantee that the final product will be error-free or meet specific commercial sales targets. Intuitia makes no warranties, express or implied, beyond those explicitly stated in an SOW.
10. Force Majeure
Intuitia shall not be held liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, internet outages, pandemics, or government actions.
11. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution in good faith through direct negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Austin, Texas.
12. Governing Law
These Terms and all disputes arising from them shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.
13. Modifications to Terms
Intuitia reserves the right to update these Terms at any time. We will notify you of significant changes by posting the updated Terms on this page with a revised "Last Updated" date. Continued use of our Services after such changes constitutes acceptance of the updated Terms.
14. Entire Agreement
These Terms, together with any applicable SOW or Proposal, constitute the entire agreement between you and Intuitia with respect to the subject matter herein and supersede all prior agreements or understandings.
